I’m in town for PEI Nexus, which will gather industry leaders from private equity to discuss some of the industry’s most topical themes and questions. I’ll be moderating a keynote with wealth management industry veteran Haig Ariyan, the Founder and CEO of Arax Investment Partners, about the intersection of private wealth and private markets and how Haig and team have grown RedBird-backed Arax into a $40B AUM buy-and-build platform in under four short years.
Coincidentally, the topic of the continued intersection of private markets and private wealth that Haig and I will discuss at PEI Nexus tomorrow featured in the news this past week.
2025 witnessed a record year for RIA wealth management M&A deal activity. The start of 2026 has seen M&A and investment into large wealth management platforms go from strength to strength.
The continued investment activity was punctuated this week by Warburg Pincus’ $1B investment into Cerity Partners.
Cerity Partners has enjoyed a rapid ascent since its founding in 2009.
The firm has expanded into a national independent wealth management powerhouse, growing to over $150B AUM (not including its recent merger with $1.2T AUA OCIO Verus Investments) in under 17 years.
Warburg’s investment into Cerity Partners highlights continued validation of the RIA investment opportunity.
Cerity Partners, which was reportedly valued at 24x EBITDA (in what appears to be a structured transaction, according to a report from Citywire), closed this round of financing at an $8.5B valuation.
Perhaps just as notable about Cerity Partners’ deal? The management team is investing $500M in the current round, which will make them the largest owners in the business.
The Cerity Partners / Warburg investment is a notable deal for the industry in its own right. One of the industry’s largest wealth management platforms now has $1B in fresh capital to continue on its journey of becoming a “100 year firm” as shared by CEO Kurt Miscinski in a recent CBS News Brand Studio conversation.
A microcosm of broader industry trends?
The deal is also emblematic of a number of current industry trends, which could continue given Cerity Partners’ new war chest. The acquisitive firm could be on the lookout to bring in other culture-aligned firms via mergers to continue bolstering its platform and growing its AUM on the path to becoming the $1T RIA as the RIA industry continues to consolidate.
A recent report from Echelon Partners highlights the state of the industry. M&A wealth management deal volume reached an all-time high in 2025. The industry’s 466 M&A deals in 2025 represented a 27.3% YoY increase from 2024, which was the industry’s previous record year in M&A deal volume.
Not only was 2025 a record year for deal volume, but 2025 also saw an uptick in $1B AUM firms consolidating into larger platforms.
This trend highlights the importance of scale, a feature that is prevalent in both wealth management and alternative asset management today. Scale begets scale — and in a world that is becoming increasingly complex, scale can enable larger platforms to tap into resources that smaller firms may be unable to access, possess research capabilities, networks, and data that can inform better decision-making and lead to differentiated insights, and create investment access for clients that might be more difficult (in some cases) for smaller firms.
Warburg’s partnership with Cerity Partners follows the trend line of increased activity of minority transactions in the wealth management space over the past five years.
Consolidation, however, is driven mainly by RIAs, rather than private equity, BD/hybrid firms, or other strategic investors. Over 73% of 2025 acquisitions were completed by RIAs, with private equity representing only 9.4% of deal volume.
But private equity involvement in the wealth management industry continues to be a driver of transaction volume.
Almost 76% of 2025’s deals involved a private equity sponsor, either via a direct investment by a PE firm or a PE-backed RIA platform that consolidated with another wealth management firm.
These figures certainly haven’t stopped private equity firms from being major participants in some of the industry’s largest transactions, particularly via minority investments.
Bain Capital’s 9.9% minority stake in Lincoln Financial in 2025, T. Rowe’s investment into Hub International Limited, and Ares’ investment into Steward Partners all represented meaningful minority stake transactions into large wealth management platforms, as the below chart from Echelon illustrates.
Private equity is very much an attractive proposition for many of the largest wealth management platforms, as a number of 2025’s transactions and the Cerity Partners/ Warburg investment highlight.
The increasing participation by private equity firms in wealth management platforms is no doubt a driver of consolidation in the industry. This continued consolidation is leading to the creation of scaled platforms.
Private markets meet private wealth
The growth of scaled platforms in the wealth management space has had a ripple effect on private markets and on the distribution of private markets solutions to the wealth channel.
The majority of participants in the private wealth market have been underallocated to private markets, particularly when compared to institutional investors.
There is a healthy debate about how much exposure private wealth investors should have to private markets — and in what structure they should access private markets. And for good reason, too. Private markets exposure may not be the right fit for every investor.
It does appear, however, that many advisors and wealth clients are looking to increase their exposure to private markets, as the below chart from the KKR 2025 RIA Survey illustrates.
As RIA wealth management platforms continue to add scale through consolidation and merger activity, how they access private markets comes into focus.
Scale enables access to different types of investment opportunities. It also means that many wealth management platforms are now centralizing their investment function to balance the competing forces of customization and scale, as I wrote about in the 3.30.25 AGM Alts Weekly:
Wealth managers are looking to find ways to provide differentiated service and customization to clients, but do so in a way that enables them to scale their practice.
This challenge for wealth managers is perhaps one reason why the industry has seen a consolidation of providers of outsourced chief investment officer (“OCIO”) solutions with wealth management platforms. Not only do these OCIO platforms expand the capabilities of wealth management businesses to serve institutional family offices, endowments, foundations, corporations, and non-profits, but it also adds institutional capabilities.
Speaking of OCIO consolidation, Cerity Partners has been active on this front. They acquired Agility, a $15B OCIO, in 2024 before adding $1.2T AUA Verus Investments to the fold earlier this month.
OCIO capabilities have become a force extender for Cerity Partners’ capabilities to serve private wealth clients, particularly in private markets, as Cerity Partners’ Tom Cohn and Amita Schultes shared on an Alt Goes Mainstream podcast.
Cerity Partners isn’t the only firm to add OCIO capabilities to the mix.
Hightower Advisors acquired a majority interest in NEPC, a large institutional investment consultant and OCIO, to “expand their commitments to clients to deliver institutional-quality investment solutions and research-driven advice,” as the firms noted in a press release about the transaction.
Cresset Partners, one of the industry’s fastest growing RIAs, recently combined with $124B AUA Monticello Associates to form a $200B AUM / AUA platform that will “pair Cresset’s leading multi-family office platform with Monticello Associates’ sophisticated investment consulting business.”
Corient recently made two major international acquisitions, buying Stanhope and Stonehage Fleming, both of which have sophisticated private markets platforms. While not an OCIO acquisition, these deals also represent the theme of consolidating sophisticated private markets capabilities into scaled wealth management businesses.
The consolidation of OCIO platforms with wealth management firms leads to some interesting questions.
A balancing act
Many RIAs are certainly thinking through how to best create value and leverage from centralizing the investment and CIO function. This feature is critical for national and international wealth management platforms.
With scale comes a need — and a desire — for operational efficiency, particularly as wealth management consolidation plays will add a diverse set of advisor teams that have client demographics that span the spectrum from UHNW to mass affluent.
Confronted with a wealth management market structure that is not monolithic, as I wrote in the 10.13.24 AGM Alts Weekly, this feature might suggest that many wealth management platforms may contemplate employing evergreen structures as a way to scale private wealth allocations across clients.
Results from KKR’s RIA Survey certainly suggests that this could be the case.
Many of the RIAs surveyed by KKR noted that they currently employ evergreen funds, “edging out drawdown funds.”
Perhaps one of the reasons driving advisor use of evergreen funds? Operational efficiency.
It’s worth noting that advisors will look to both evergreens and drawdown funds, particularly as they seek to both customize allocations for clients and differentiate offerings for clients.
It’s imperative that advisors — and asset managers that aim to work with the wealth channel — make sure that the product structure represents the “right product for the right investor at the right time, delivered in the right way,” as I wrote in the 5.25.25 AGM Alts Weekly.
The key for alternative asset managers when determining if and how they should work with the wealth channel? Ensure that they don’t get stuck in the middle.
This sentiment could also be echoed for wealth management platforms debating between staying small and contemplating scale, which after this week’s news is sure to be on the minds of many in the wealth management world.
